This End User License Agreement (“EULA”) is between you and TMNSolutions Co., Ltd. (“TMNSolutions”, “we”). It applies when you install, activate or use the RikuFlow software (“Software”), including a trial. If you do not agree, do not install or use the Software. Buying a license is covered by the Terms of Service.
1. Definitions
- Key: the signed license or trial key we issue to you.
- Edition: Personal. Team is not released yet.
- Update period: the period during which you may install new versions, stated in your key as “updates until”. Personal includes 12 months from purchase; renewals extend it.
- Device: one computer on which the Software is activated.
2. License grant
Subject to this EULA and payment of the applicable fee, we grant you a non-exclusive, non-transferable, worldwide, perpetual license to install and use each version of the Software released during your update period. Versions released after your update period ends are not licensed to you unless you renew. Versions you are licensed for keep working after the update period ends.
3. Personal edition
- For use by one person, for personal or commercial work.
- You may have the Software activated on up to 3 devices at the same time. To move to another device, deactivate one first (from the app, or from the key email if a device is lost).
- A Personal license does not permit several people to share one installation or key.
- You may run the Software on a server you control, such as a VPS, and use it from your own browsers. A server installation counts as one device. Making it available to other people is not allowed under a Personal license.
4. Team edition
Team is not released yet and has no terms. Its terms will be published here before it is offered for sale.
5. Trial
- A trial key is for evaluating the Software, on one device, for 14 days from its first activation.
- One trial per email address.
- When the trial ends, the Software asks for a license key. Your projects, exports and backups remain accessible.
6. Updates and renewal
- During your update period the Software can find, download and install new versions. It checks the download’s checksum and signature and keeps the previous version to roll back if needed.
- A renewal extends your update period by 12 months. If you renew after it has ended, the new 12 months start on the renewal date.
- AI providers change their services. A version you keep using after your update period may lose compatibility with a provider or model. We do not promise that any third-party service will keep working with any version.
7. Activation and online checks
- Activation needs an internet connection once per device. After that, the Software works offline.
- When online, the Software checks for updates and the status of your key, at start and about once a day. These checks send your key, a device identifier, the app version and your operating system, as described in the Privacy Policy.
- The Software never sends us your projects, prompts, media or provider API keys.
8. Restrictions
You may not:
- sell, resell, rent, lend, sublicense or otherwise transfer the Software or your key;
- share your key with others, or publish it;
- circumvent, disable or tamper with the license check, keys, activation limits or update checks;
- reverse engineer, decompile or disassemble the Software, except to the extent the law expressly allows despite this restriction;
- remove copyright or license notices.
Plugins you write with the RikuFlow plugin SDK are yours; the SDK itself is licensed under the MIT License.
9. Refunds, revocation and termination
- If your purchase is refunded or charged back, your license ends and the key is revoked. The Software notices this at its next online check.
- We may revoke a key that is used in material breach of this EULA (for example, a published or resold key), after notice where practical.
- A license that is never online again is not affected by revocation in practice; that does not make continued use lawful after a refund.
- On termination you must stop using the Software. Your own files remain yours.
10. Your data, providers and outputs
- You are responsible for your data and for keeping backups of it. The Software includes a backup and restore feature; use it.
- You are responsible for your AI provider accounts, their API keys, their charges and your compliance with their terms, and for the content you create and how you use it.
- Cost estimates shown in the Software are estimates. Actual charges are set by each provider.
11. Third-party components
The Software includes open-source components under their own licenses. They are listed with their license texts on the Licenses page. Nothing in this EULA limits your rights under those licenses.
12. Warranties and disclaimers
EXCEPT AS SPECIFICALLY STATED IN THIS EULA, TMNSOLUTIONS AND ITS SUPPLIERS MAKE NO WARRANTIES ABOUT THE SOFTWARE. To the extent permitted by law, we provide the Software “as is”, without warranty of any kind, express or implied, including fitness for a particular purpose and non-infringement. We do not warrant that it will be error-free or work with every provider, model or system.
13. Liability limitations
TMNSolutions limits liability to the maximum extent permitted by law. We exclude responsibility for indirect, incidental, special or consequential damages, lost profits, lost data or third-party charges arising from use of the Software. Our total liability under this EULA shall not exceed the amount paid by you for the license during the twelve months preceding the claim. Nothing in this EULA excludes liability that cannot be excluded by law.
14. Governing law
This EULA is governed by the laws of Vietnam, without prejudice to mandatory consumer protection rules of the country where you live.
15. Changes
We may update this EULA for future versions or purchases. The version in force when you obtained a version of the Software continues to apply to that version.
16. About this EULA
This EULA regulates the relationship between TMNSolutions and you without creating third-party beneficiary rights. If any provision of this EULA is found to be unenforceable, the remaining provisions will continue in effect. If you use the Software on behalf of a business entity, the Business Use section of the Terms of Service applies.
